Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Taleshape Cloud service ("Service") provided by Taleshape OÜ ("Taleshape", "we", "us", or "our"), a company registered in Estonia (Registration number 16962132, Sepapaja tn 6, 15551 Tallinn, Estonia).

By accessing or using the Service, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Taleshape provides managed deployment and support services for Shaper, an open-source data analytics platform. Our Service includes:

• Hosted Shaper instance (Standard and Pro plans) or deployment support in your infrastructure (Pro and Enterprise plans)
• Automatic updates, backups, and monitoring
• Technical support via email, Google Meet, or Slack/Teams (depending on your plan)
• Additional features as specified in your selected plan

The core Shaper platform is open source and when deployed in your infrastructure, it remains fully functional even if you cancel your subscription with Taleshape.

3. Account Terms

Registration: You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials.

Account Usage: Each subscription is for use by a single organization. You may not share your account credentials or allow multiple organizations to use a single subscription.

Account Security: You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized access or security breach.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Store, process, or transmit illegal content
• Intentionally overload or disrupt the Service or our infrastructure
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with other customers' use of the Service

We reserve the right to suspend or terminate accounts that violate these acceptable use terms.

5. Fees and Payment

Pricing: Current pricing is available on our Plans and Pricing page. Prices are subject to change with 30 days' notice.

Billing: Subscriptions are billed monthly or annually in advance. Payment is processed through our third-party payment processors (Stripe and Wise).

Refunds: See our Refund and Cancellation Policy for details on our 30-day money-back guarantee.

Taxes: Prices do not include applicable taxes, which you are responsible for paying.

6. Service Level

We strive to provide reliable and available service, but we do not guarantee uninterrupted access. The Service is provided on a best-effort basis.

We may perform scheduled maintenance with advance notice when possible. Emergency maintenance may be performed without notice.

7. Data Ownership and Security

Your Data: You retain all rights to the data you store and process through the Service. We do not claim any ownership of your data.

Our Role: We manage the infrastructure and application that hosts your data. We implement reasonable security measures to protect your data, but you are responsible for your own data backup and recovery procedures.

Data Access: We do not access your data except as necessary to provide support services you request or as required by law. For more information, see our Privacy Policy.

8. Termination

By You: You may cancel your subscription at any time. See our Refund and Cancellation Policy for details.

By Us: We may suspend or terminate your account if you violate these Terms or for non-payment. We will provide notice when possible.

Effect of Termination: Upon termination, you have 7 days to export your data. After 7 days, we will delete all your data from our systems.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALESHAPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

We are not responsible for issues caused by third-party services, your own infrastructure, or factors outside our reasonable control.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia. We comply with the European Union's General Data Protection Regulation (GDPR) and other applicable data protection laws.

Any disputes arising from these Terms shall be resolved in the courts of Estonia.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before the changes take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
